Terms of Use

Version 1.6.3 · Effective 2026-09-22

These Terms of Use are a binding agreement between you and UCCdata.ai (“UCCdata,” “we,” “us”), operated from Wilmington, Delaware. They cover the website, sample requests, and any dataset you order.

By using the site, requesting a sample, or placing an order, you agree to these Terms. If you do this for a company, you confirm that you have authority to bind it, and “you” includes that company.

These Terms are the entire agreement. Pages, FAQs, previews, samples, emails, and checkout text describe the service. They are not warranties and they do not change these Terms. If anything on the site conflicts with these Terms, these Terms control.

1. The product

We offer business datasets and contact details compiled from public records and other sources. We decide which fields are included, and which records go into the file when you buy fewer than are shown as available.

A record is one unique contact in the channel of that order: one email address, or one mobile number. It is not a filing and not a company. Two people at the same company are two records when each has a contact of their own. The same contact is one record even if it sits on more than one company. When we build the file, we choose which company and filing details are attached to that contact.

Filters and similar choices are whatever checkout offers when you pay. We may add, remove, or change them at any time before you pay.

Counts, previews, and descriptions on the site show what is available at that moment. The paid file follows the filters you paid for. It will not necessarily match a preview row for row.

2. Orders and price

The price, quantity, and any minimum are what checkout shows when you pay. We may change prices, minimums, and offers at any time before payment. A page, a link, or an earlier quote does not lock a price unless we confirm that order in writing.

A promo code has no effect unless we accept it for that order. We may reject, limit, or withdraw a code.

We may refuse or cancel any order or customer. An order is an offer. We accept it only when payment succeeds. You authorize the amount shown at checkout. A third-party processor handles payment. We do not store full card numbers.

3. Delivery

When payment succeeds, we email a download link for your file to the address you give us. The file is not on the payment screen. If we fail to send that message, we will send it. You are responsible for the address you enter and for your spam filters.

We choose the file format. We do not promise a clock time for delivery.

If we cannot deliver the order, or cannot deliver the quantity you paid for, we refund what you paid for the part we do not deliver.

4. Accounts and later orders

An order is tied to an account. Dedup uses that account’s export history: a contact already delivered to the account stays out of a later order on the same account, in the same channel. Without that history, dedup cannot run. History is unavailable when we cannot match an account, when access to it has been lost, or for another reason of that kind. In those cases we will try to restore what history we can. We do not promise that we will be able to.

If the same contact is delivered again in a later paid order on that account and in that channel, show us both deliveries. Once we confirm the duplicate, we will, at our discretion, replace that record or refund what you paid for that record.

5. License

When we deliver a dataset or a sample, we grant you a limited, non-exclusive, non-transferable, revocable license to use that delivery for your own internal sales, marketing, and analytics.

A vendor may use it only to do work for you, and only under a duty to keep it confidential and to use it solely for you.

You will not resell it, sublicense it, publish it as a data product, or give it to another company for that company’s own use.

We own the datasets, the selection and arrangement, and the site. Public-record status of a source does not expand this license. If you breach these Terms, we may end the license and require you to delete what we delivered.

6. No warranties

The site and every dataset and sample are provided as is and as available.

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, and timeliness.

We work to make the file accurate and to check contacts before they are included. A product of this kind still has occasional errors, and those errors are normal. Our checks are not a promise that every record is correct, current, or fit for a particular use, or that every record will match a description on the site.

7. Replacements

If you believe a contact was invalid when we delivered it, write to us with clear proof, including the identifiers of that row in your file. We review the report internally. That review is what decides the outcome, and the decision is ours. Where we agree the contact was invalid at delivery, we will, at our discretion, replace that record or refund what you paid for that record.

8. Your use

We provide the data for your internal use. What you do with it is your responsibility alone. We give no guarantee about that use, and we are not responsible for it. By purchasing a dataset, you agree to act in good faith.

When you place an order, request a sample, or email us, you agree that we may email you about UCCdata, including product news and offers. That agreement is for email only. It is not consent to a call or a text. You may unsubscribe from marketing email in the message. After you do, we stop marketing email to that address. Email about an order, including a download link, may continue. A message that asks us to unsubscribe you, or to remove a record, is not a request to join the list. The Privacy Policy describes this.

You will comply with the TCPA, CAN-SPAM, Do-Not-Call rules, state marketing laws, and consent requirements that apply to you. You will not use the data to harass, to contact a person who has opted out, or to make a decision about credit, insurance, employment, housing, or any other matter covered by the FCRA. A dataset is not a consumer report.

We try to screen mobile numbers against TCPA litigator lists that are publicly available. Those lists are not complete. Not every litigator or other risk is public. Do-not-call and similar risks remain. That screening does not clear a number for calling, texting, or email, and it does not shift any of this responsibility to us.

If you are outside the United States, or you use a delivery outside the United States, the law of that place is yours.

Where a delivery includes personal information of a California resident, we sell that information only for the license in section 5: your own internal sales, marketing, and analytics. You will comply with the California Consumer Privacy Act in that use, and you will protect the information to the standard that law sets. We may take reasonable steps to see that your use stays inside these Terms. You will tell us if you determine that you can no longer meet these duties. We may then, or if we learn of a use these Terms do not allow, take reasonable steps to stop that use, including ending the license for the information involved and requiring you to delete it.

How personal data is divided between us is described in the Data Processing Addendum. That addendum adds no warranty and does not expand our liability under these Terms.

9. Indemnity

You will defend and indemnify UCCdata and its operators against claims, losses, and expenses, including reasonable attorneys’ fees, arising out of your use of the site or a delivery, your outreach, your breach of these Terms, or a claim that someone should not have been contacted with data we delivered to you.

We may take over the defense and settlement. You will cooperate. You will not settle a claim that admits fault by us, or that imposes a duty on us, without our written consent.

10. Limitation of liability

We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if we were told they were possible.

Our total liability for a claim will not exceed the amount you paid us for the order that gave rise to the claim. If you paid nothing, that cap is one hundred U.S. dollars.

These limits apply to every theory of liability. They do not apply where the law forbids a limit. They do not cap your indemnity or your liability for breach of the license.

11. The site

We may change, suspend, or discontinue the site, datasets, coverage, filters, or prices at any time.

A sample is not an order. We have no obligation to send one. We send a sample only if we decide to, after we review the request. If we send one, sections 5 and 6 apply to it.

Work outside ordinary checkout happens only if we agree to it in writing. Until then we have no obligation to produce it.

12. Disputes

Delaware law governs these Terms, without conflict-of-law rules. The state and federal courts in Delaware are the exclusive venue. You consent to personal jurisdiction there.

To the extent the law allows, you and we waive a jury trial, and any claim must be brought on an individual basis, not as a class, collective, or representative action. A claim must be filed within one year after it arose, or it is barred, to the extent the law allows that limit.

13. General

If a provision is held unenforceable, the rest remains in effect. A delay in enforcing a right is not a waiver. You may not assign these Terms. We may.

We are not liable for a failure or delay caused by circumstances outside our reasonable control.

License limits, disclaimers, indemnity, liability limits, and this disputes section survive delivery and any end of access.

14. Changes and contact

We may update these Terms by posting a new version on this page. We have no duty to notify you of a change, and no duty to keep or provide an earlier version.
